1. Introduction & Acceptance

These Terms & Conditions ("Terms") form a binding agreement between you ("you", "user") and TradeBanta, a service operated by Tradebanta Inc. ("TradeBanta", "we", "us") governing your access to and use of the TradeBanta website, mobile applications, APIs and related services (collectively, the "Platform"). By creating an account, funding a wallet or placing a trade on the Platform, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, our Trading Integrity Policy and our Risk Disclosure.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher. Certain markets may require you to be 21+.
You must not be a resident of, or accessing the Platform from, a jurisdiction where prediction markets, event contracts or any of our services are prohibited or require a licence we do not hold. This includes, without limitation, jurisdictions subject to comprehensive sanctions administered by the United Nations, the United States (OFAC), the European Union, or the United Kingdom.
You must not be listed on any government sanctions, terrorism or politically-exposed-persons list that prohibits us from serving you.
You must use the Platform only in a personal, non-professional capacity unless we have expressly authorised institutional use.

3. Account Registration, KYC and AML

To use most Platform features you must open an account and complete identity verification ("KYC"). You agree to provide accurate, current and complete information and to keep it up to date. We may request additional documents at any time, including source-of-funds evidence, and may restrict, suspend or close your account if verification cannot be completed. Our KYC and AML program is described in the Trading Integrity Policy.

4. Nature of the Service

TradeBanta is a prediction marketplace. Users trade the outcomes of real-world events. The Platform is not a broker-dealer, bank, gambling operator, investment adviser or fiduciary. Nothing on the Platform is investment, tax or legal advice. Market prices reflect user activity and are not forecasts, endorsements or recommendations by TradeBanta.

5. Trading Rules, Order Execution and Market Resolution

All orders are subject to available liquidity, market rules, quote validity windows and risk controls. We may reject, cancel, unwind or adjust orders that violate these Terms, our Trading Integrity Policy or applicable law.
Markets resolve based on the resolution source stated on the market page. Where a resolution source is unavailable, ambiguous or clearly wrong, TradeBanta may resolve the market in good faith using the best available information.
Disputes about a resolution must be raised via the Help Center within seven (7) days of resolution. Our resolution decisions are final except where required otherwise by law.

6. Wallet, Deposits, Withdrawals and Refunds

Funds held in your wallet are used solely to place trades and to receive winnings, refunds and rewards.
Deposits are irrevocable once confirmed on the underlying payment network. Withdrawals are processed once you have completed KYC, satisfied any applicable trading or bonus conditions and are not subject to a live investigation.
Because prediction trades execute immediately against live markets, purchases of positions are non-refundable. Refunds are only issued where a market is voided, a technical error is confirmed by us, or law requires it.

7. Fees

Trading, deposit, withdrawal and network fees are disclosed in-product at the point of the transaction. Fees may change at any time and are effective on posting. Continued use of the Platform after a fee change constitutes acceptance of the new fees.

8. Prohibited Conduct

You must not, and must not attempt to:

Manipulate any market, including through spoofing, layering, wash trading, cornering, front-running or coordinated pump activity;
Operate more than one personal account, use another person's identity, or share your account with anyone else;
Access or use the Platform via a VPN, proxy or other tool intended to circumvent geographic restrictions;
Use unauthorised bots, scrapers or automation against the Platform;
Trade on the basis of material, non-public information or information obtained in breach of a duty of confidence;
Collude with other users to influence market prices or resolutions;
Use the Platform to launder money, evade tax, finance terrorism, or for any other unlawful purpose;
Upload harmful code, interfere with Platform security, or attempt to gain unauthorised access to any part of our infrastructure.

Violations may result in the actions described in Section 11 and in the enforcement measures set out in the Trading Integrity Policy.

9. Intellectual Property and User Content

TradeBanta and its licensors own all rights in the Platform, including software, trademarks, market data, branding and content we publish. You may not copy, modify, distribute or reverse engineer any part of the Platform except as permitted by law. Content you post on the Platform (comments, posts, media) remains yours, and you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt and distribute that content for the purpose of operating and promoting the Platform.

10. Third-Party Services and Links

The Platform integrates third-party services, including KYC and identity providers, payment processors, blockchain networks and analytics tools. We are not responsible for the availability, terms or content of any third-party service, and your use of them is governed by their own terms.

11. Suspension, Termination and Account Closure

Closing your account. You may close your account at any time from Settings → Danger zone, or by contacting the Help Center. Both wallets must be empty and you must have no open positions and no pending orders before a closure request can be accepted, so withdraw or cash out first. Your account is deactivated immediately and permanently deleted after thirty (30) days; you can cancel at any point in that window by signing in again, which restores the account in full. What we erase and what we retain afterwards is set out in the Privacy Policy and on the Account Deletion page.

Restrictions short of closure. Instead of, or before, closing an account we may pause one or more individual abilities — signing in, trading, cashing out, withdrawing, depositing, posting in the community, or earning rewards. A restriction may be time-limited or open-ended, always states a reason, and is notified to you in-product and by email. Funds affected by a restriction are held, not forfeited, and become available again when the restriction is lifted. You may appeal any restriction through the Help Center, and we will respond with a decision and the reason for it. An account carrying an active restriction cannot be deleted until the restriction is lifted or the underlying matter is resolved.

Our rights. We may suspend, restrict or terminate your account, freeze funds, cancel positions or refuse further service if we reasonably believe that you have breached these Terms, that we are required to do so by law, or that action is necessary to protect the Platform, other users or TradeBanta. Where lawful and safe to do so, we will give you notice and an opportunity to respond.

12. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement or continuous availability. TradeBanta, its officers, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or in connection with your use of the Platform. Our aggregate liability to you for all claims arising in any twelve (12) month period is limited to the total fees you actually paid to TradeBanta during that period. Nothing in these Terms excludes liability that cannot be excluded by law, including consumer rights in your jurisdiction.

13. Indemnification

You agree to defend, indemnify and hold harmless TradeBanta and its affiliates from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction stated at sign-up for your account, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will first be attempted to be resolved informally by contacting the Help Center. If unresolved after thirty (30) days, disputes will be finally resolved by binding individual arbitration under the rules of a recognised arbitral institution seated in that same jurisdiction, and you and TradeBanta waive any right to participate in a class, collective or representative action, except where such waiver is prohibited by law. Consumers domiciled in the European Union or the United Kingdom retain the right to bring proceedings in the courts of their place of residence and to rely on mandatory consumer-protection rules of their local law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email or in-product notice at least seven (7) days before they take effect (or such longer period as law requires). Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
